About Material Transfer Agreements

Material Transfer Agreements (MTA) establish which party is the provider and receiver of materials, the extent of the provider’s ownership and the receiver’s usage, compliance with the individual terms and conditions on use of materials, and also protects the intellectual property interests of both the provider and receiver.   The UD Research Office handles both incoming MTAs, where the University is receiving research materials from other entities, as well as outgoing MTAs, where researchers are sharing UD materials with an outside entity.  To request an MTA, please complete the Material Transfer Agreement Webform below.  In addition to information related to the transfer, the form requires that the requestor attach a completed MTA draft:

• For incoming materials, attach the agreement template given to you by the provider institution. If no agreement was provided to you by the outside party, complete the Incoming MTA form provided in the forms below.
• For Outgoing materials complete and attach the Uniform Biological Material Transfer Agreement (UBMTA)for biological materials or MTA template for non-biological materials, or as an alternative to the UBMTA if desired.

The system will automatically populate the routing sequence for each request, however, the requestor may include additional approvers who should review/approve the transfer request.  The Research Office will review the template, and secure appropriate approvals for final execution of the MTA.  The Research Office will notify the requestor once all approvals have been met, and the agreement has been fully-signed.  Note that materials cannot be sent or received until the MTA has been fully-signed.

Data Transfer and Use Agreement Template

This agreement template is to be used where transfer of data between the University of Delaware and an external entity are involved. Whether UD is the recipient or provider of the data.

Draft Master Research Agreement with Industry

The Draft Master Research Agreement with Industry is a template of a contract between UD and the sponsor; it specifies the obligations of UD and the sponsor in funding and conducting any scope of work that UD may propose for funding by that sponsor.

Facility Use Agreement Template

The Facility Use Agreement is a template for an agreement between UD and an external entity; it specifies the terms and conditions associated with an external entity using UD facilities.

Industry Research Agreement – Overview

This form is used to help manage the resources allocated from grants, gifts and sponsored agreements. Both the University and the government have specific protocols in place to prevent the misuse of funds and other resources. Please contact your assigned contract and grant specialist if you have specific questions, or if you have questions about other forms and steps in the award process. Industry Research Agreement – Standard

This is a research agreement template between a company and the University of Delaware. It is meant as a template for aid in drafting of such agreements.

Institutional Confidentiality and Nondisclosure Agreement

This is an institutional confidentiality and nondisclosure agreement template between the University of Delaware and a corporation. It is meant as a template for aid in drafting of such agreements.

Material Transfer Agreement Required Webform

The Webform is the first step in requesting a Material Transfer Agreement (MTA) and is required by the Research Office prior to approving any request.  Please download and complete the UD Webform, including the MTA attachment, as completely and accurately as possible and submit.  The system will route the completed form to the appropriate approvers in the Research Office or the requestor’s Department.  The Research Office will notify the requestor when the agreement has been fully-executed and it has been approved to ship materials.  Templates for the MTA attachment are provided below.

A Material Transfer Agreement (MTA) is used to manage and record the transport of research material from one party to another, and is required for both incoming and outgoing materials. The attached MTA template is used to facilitate incoming transfers where the University of Delaware is the Recipient of the transfer. Please complete the appropriate sections of the attached MTA template and sign as Recipient Scientist.

Please note that there is a separate template available on this website for outgoing transfers where the University of Delaware is the Provider of the material.

The appropriate MTA template should be used to confirm the terms of transfer for any non-biological materials, or biological materials where the UBMTA available on this website is not applicable.

In addition to the attached MTA, you must also complete a MTA Webform. Attach the completed MTA (with your signature) when submitting a MTA Webform. The Research Office will review the MTA and obtain any remaining signatures.
