About Material Transfer Agreements

Material Transfer Agreements (MTA) establish which party is the provider and receiver of materials, the extent of the provider’s ownership and the receiver’s usage, compliance with the individual terms and conditions on use of materials, and also protects the intellectual property interests of both the provider and receiver.   The UD Research Office handles both incoming MTAs, where the University is receiving research materials from other entities, as well as outgoing MTAs, where researchers are sharing UD materials with an outside entity.  To request an MTA, please complete the Material Transfer Agreement Webform below.  In addition to information related to the transfer, the form requires that the requestor attach a completed MTA draft:

  • For incoming materials, attach the agreement template given to you by the provider institution. If no agreement was provided to you by the outside party, complete the Incoming MTA form provided in the forms below.
  • For Outgoing materials complete and attach the Uniform Biological Material Transfer Agreement (UBMTA)for biological materials or MTA template for non-biological materials, or as an alternative to the UBMTA if desired.

The system will automatically populate the routing sequence for each request, however, the requestor may include additional approvers who should review/approve the transfer request.  The Research Office will review the template, and secure appropriate approvals for final execution of the MTA.  The Research Office will notify the requestor once all approvals have been met, and the agreement has been fully-signed.  Note that materials cannot be sent or received until the MTA has been fully-signed.

Material Transfer Agreement Required Webform

The Webform is the first step in requesting a Material Transfer Agreement (MTA) and is required by the Research Office prior to approving any request.  Please download and complete the UD Webform, including the MTA attachment, as completely and accurately as possible and submit.  The system will route the completed form to the appropriate approvers in the Research Office or the requestor’s Department.  The Research Office will notify the requestor when the agreement has been fully-executed and it has been approved to ship materials.  Templates for the MTA attachment are provided below.

Please complete the appropriate sections of the attached MTA template and sign as Recipient Scientist.

The appropriate MTA template should be used to confirm the terms of transfer for any non-biological materials, or biological materials where the UBMTA available on this website is not applicable.

In addition to the attached MTA, you must also complete a MTA Webform. Attach the completed MTA (with your signature) when submitting a MTA Webform. The Research Office will review the MTA and obtain any remaining signatures.

Uniform Biological Material Transfer Agreement

Uniform Biological Material Transfer Agreement

In 1995, the National Institutes of Health (NIH) published the Uniform Biological Material Transfer Agreement (UBMTA) and an Implementing Letter for the transfer of materials between nonprofit institutions.  The University of Delaware is one of the institutions which has signed the UBMTA which allows signatory institutions to transfer materials to one another using a boilerplate Implementing Letter for the particular transfer.

Use of the UBMTA is optional, UD researchers may opt to use the Non-Biologicals form as an alternative.    Note that the UBMTA Letter must accompany the UBMTA in all cases.  Please provide investigator/scientist information as appropriate and sign as recipient or provider.  Attach the completed UBMTA to the Webform before submitting.

Uniform Biological Material Transfer Agreement Implementation Letter

The UBMTA Letter must be used in conjunction with the UBMTA.  The Implementing Letter contains a description of the material and a statement indicating that the material is being transferred in accordance with the terms of the UMBTA. It must be executed by the provider scientist and the recipient scientist, and is subject to UD Research Office approvals.  Please complete the highlighted sections of the form and sign as provider or receiver as appropriate.  Attached the completed UBMTA Letter to the Webform before submitting.
